Legal Counsel- Remote (US based)

About The Role:
Thorn is looking for a motivated, well-rounded, seasoned Legal Counsel to join our Legal team! In this role, you’ll ensure legal input helps drive our work forward. Working remotely, you’ll build relationships across a dynamic, values-first organization and you’ll help structure, draft, and negotiate a wide range of contracts, advise and support on a multitude of legal matters, and develop creative solutions that manage risk and push the organization forward.
The ideal candidate will have 6-8 years of experience as a practicing attorney at a law firm providing services for tech clients, relevant in-house experience with companies in the technology industry, or both.
What You’ll Do:
- Draft, review, and negotiate legal documents covering a range of Thorn’s activities across the child safety ecosystem, including developing, enhancing, and maintaining policies, contract templates, trainings, guidelines, and procedures to ensure legal compliance and operational efficiency.
- Partner with internal stakeholders to identify and mitigate legal risks and provide legal guidance on a wide range of matters, including in the areas of technology development, SaaS, data security/privacy, regulatory compliance, licensing, intellectual property, marketing, contracts (including government contracts), new initiatives and products.
- Keep abreast of legal developments and trends in the non-profit, technology and child protection fields, and advise the organization accordingly.
- Maintain the highest level of professional and ethical standards and to act in compliance with both the letter and spirit of all applicable laws and regulations.

- Must have a sleeves-rolled, hands-on approach towards day-to-day matters and the faculty to think tactically and strategically on achieving short/long-term objectives.
- Expertise in commercial law with substantive knowledge of issues relating to software licensing, SaaS contracts, partnerships, intellectual property, employment, and data privacy.
- Passion to serve Thorn’s mission.
Qualification Requirements:
- J.D. degree from an accredited law school and membership in a US state bar, or otherwise qualified to be a registered in-house counsel under California’s multi-jurisdictional practice program.
- 6-8+ years of experience as a practicing attorney at a law firm providing services for tech clients, relevant in-house experience with companies in the technology industry, or both.
- Strong analytical and problem-solving skills with the ability to apply legal concepts to real-world situations.
- Demonstrated ability to identify, assess, and mitigate legal risks.
Preferred Qualifications:
- 4-6+ of years experience handling commercial transactions and government contracts, ideally in-house at an internet, ecommerce or technology company.
- Experience or knowledge of 501(c) organizations is a plus.
- Experience working with tech companies/startups.
- Experience with Ironclad, Salesforce, data privacy, security, compliance and employment matters is a plus
